By creating an account, connecting a website or marketing account, or otherwise using the Service, you ("Customer" or "you") agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to that organization.
If you do not agree to these Terms, do not use the Service.
1. The Service
AkOOre helps small and mid-sized businesses grow their organic and AI-driven visibility. Depending on your subscription plan, the Service may include: keyword and topic research; generation of publish-ready articles; backlink prospecting, outreach material, and tracking; technical, on-page, and answer-engine-readiness audits; and measurement dashboards, KPI scoreboards, and work-activity reports. Features, plans, and usage limits may change over time, and current plan details are as described on our pricing page or your order form.
AkOOre does not publish content to your website, place backlinks on your behalf, or manage your website's hosting or infrastructure. You remain solely responsible for reviewing and publishing any content, briefs, or recommendations the Service produces, and for all activity on your own website and marketing accounts.
2. Accounts and Connected Services
You must provide accurate registration information and keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly of any unauthorized use.
The Service may require you to connect third-party accounts (for example, Google Ads, Google Search Console, Google Analytics, or your website's content platform) via OAuth or API credentials. You authorize AkOOre to access and use data from those connected accounts solely to provide the Service to you. You may revoke this access at any time through the relevant third-party provider or your AkOOre account settings; doing so may limit or disable parts of the Service. AkOOre is not responsible for the availability, accuracy, or policies of third-party services you connect.
3. Subscription, Fees, and Payment
Paid plans are billed in advance on the cycle stated at signup or on your order form (e.g., monthly or annually), plus any applicable taxes. Fees are non-refundable except as required by law or as expressly stated in these Terms or your order form. We may change our fees or plans on prospective notice; continued use after a fee change takes effect constitutes acceptance of the new fee.
If a payment fails or is overdue, we may suspend or downgrade your access to the Service until payment is received. You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing cycle, and no partial-period refunds are provided unless required by law.
4. Acceptable Use
You agree not to use the Service to:
- violate any applicable law or regulation, or infringe the intellectual property, privacy, or other rights of any third party;
- upload or generate content that is unlawful, defamatory, deceptive, or that you do not have the right to publish;
- engage in link schemes, paid link placement, private blog networks, or other tactics that violate the webmaster or spam policies of search engines or AI answer engines;
- attempt to gain unauthorized access to the Service, other accounts, or the systems or networks supporting the Service;
- probe, scan, or interfere with the integrity or performance of the Service, or reverse-engineer any part of it except as permitted by law;
- use the Service to build a competing product, or resell or sublicense the Service without our prior written consent.
We may suspend or terminate access for any account reasonably believed to be in breach of this section.
5. Customer Content and Data
"Customer Content" means the websites, keywords, credentials, connected account data, and any other content or data you submit to, or authorize the Service to access on your behalf. You retain all rights to your Customer Content. You grant AkOOre a worldwide, non-exclusive license to host, process, and use Customer Content solely to provide, maintain, and improve the Service for you.
You represent that you have all rights necessary to submit Customer Content to the Service and to authorize the connections described in Section 2. You are responsible for the accuracy and legality of Customer Content.
Our collection and use of personal data in connection with the Service is described in our Privacy Policy.
6. Generated Content and Recommendations
The Service uses automated tools, including large-language-model output, to generate articles, audits, outreach material, and recommendations ("Generated Output"). Generated Output is provided as a starting point and may contain errors, inaccuracies, or content unsuitable for publication without review. You are solely responsible for reviewing, fact-checking, editing, and approving Generated Output before publishing it or acting on it. AkOOre does not guarantee any specific search ranking, traffic level, citation by an AI answer engine, or other outcome from use of the Service.
7. Intellectual Property
Subject to Section 5, AkOOre and its licensors own all right, title, and interest in the Service, including its software, design, and underlying technology. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription term for your internal business purposes. No other rights are granted. All trademarks, logos, and service marks displayed on the Service are the property of AkOOre or their respective owners.
8. Confidentiality
Each party may receive non-public information of the other party in connection with the Service ("Confidential Information"). Each party will use the other's Confidential Information only to perform its obligations under these Terms, and will protect it with the same degree of care it uses for its own confidential information of similar nature, but no less than reasonable care. This section does not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law.
9. Disclaimers
THE SERVICE AND ALL GENERATED OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY SEARCH RANKING, TRAFFIC, OR VISIBILITY OUTCOME WILL RESULT FROM USE OF THE SERVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKOORE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. AKOORE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO AKOORE FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.
11. Indemnification
You will defend, indemnify, and hold harmless AkOOre from and against any third-party claims, damages, and expenses (including reasonable legal fees) arising from your Customer Content, your use of the Service in violation of these Terms or applicable law, or your publication of Generated Output without adequate review.
12. Term, Suspension, and Termination
These Terms remain in effect while you maintain an account or active subscription. We may suspend or terminate your access if you breach these Terms and do not cure the breach within a reasonable period after notice, if required by law, or to protect the security or integrity of the Service. You may terminate your account at any time as described in Section 3. Upon termination, your right to access the Service ends, and we may delete your Customer Content after a reasonable retention period, except as required by law or as described in our Privacy Policy.
Sections 5 (as to data already processed), 7 through 11, and 13 through 15 survive termination.
13. Changes to the Service or these Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide reasonable notice (for example, by email or an in-product notice) before the changes take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Service and may terminate your account as described in Section 12.
14. Governing Law and Disputes
